Certificate of Incumbency

The Certificate of Incumbency is a document issued by the Registered Agent.

For Corporations and LLC’s the following information is listed:

  • Company Name
  • Incorporation/Formation Date
  • Registration Number
  • Authorized Capital
  • Directors/Managers Information (Name & Address)
  • Officers Information (Name & Address)
  • Shareholders/Members Information (Name & Address)
  • Confirmation that the company is in compliance with the payment of its government fees

For Foundations the following information is listed:

  • Name of the Foundation
  • Date of Establishment
  • Registration Number
  • Authorized Assets
  • Foundation Council Members Information (Name & Address)
  • Founders Information (Name & Address)

The Certificate of Incumbency could be required for opening corporate bank or may be requested if the company is older than one year. If the certificate is apostilled, there is no need for further legalization by an embassy or consulate in the foreign country.
